The enterprise seeks to balance commercial and public interests. Private investors Alexey Krivoruchko and Andrei Bokarev closed a deal to acquire a 49% stake in the Kalashnikov Concern. Rostec has retained its controlling stake.

The deal is valued at RUB 1.3 billion. Upon completion of the necessary business procedures the shareholder capital of the Russian arms manufacture will increase to RUB 2,653,100,000.

The decision to transfer 49% of shares in the Russia's largest arms manufacturer to private investors Alexey Krivoruchko, who has taken over as General Director of Kalashnikov, and Andrei Bokarev, co-owner of Transmashholding, was made in the fall of 2013.

"The deal is a significant step in implementing Kalashnikov's financial recovery strategy that will grow the concern's capitalization and profitability. Private-public partnerships will allow for implementing large-scale projects in the near future to modernize production and increase sales volume and growth into new markets," CEO Alexey Krivoruchko noted.

An additional 2.653 billion shares of Kalashnikov with a par value of RUB 1,000 each have been issued in order to complete the deal. The Bank of Russia registered the procedure in March 2014. The additional shares have been issued under a closed subscription in favor of Rostec and the company controlled by Krivoruchko and Bokarev, TransKomplektHolding.

The government as represented by Rostec has retained a controlling stake in the concern (51%), which will help to maintain a balance of commercial and public interests in the enterprise.

Some of the funds received from the issue of additional shares will be used to repay Kalashnikov's debt obligations to Sberbank. They will also be used to carry out other measures under the company's financial recovery program.

Kalashnikov Concern to undergo rebranding using its own funds


Money from the state budget will not be used. The Kalashnikov Concern, part of the state corporation Rostec, will introduce a new brand in fall 2014. The rebranding campaign will be carried out at the concern’s own expense and through private investment.

The rebranding of the Kalashnikov Concern will help to create a company image worthy of the leader of the Russian arms industry. All aspects of the Kalashnikov brand, including its website, stores, exhibition pavilions, and a 3D video presentation about the activities and products of the company, will be united together under a single concept. The new website will be the hallmark of the enterprise. Every user will not only be able to browse the product catalogue, but can also buy unique accessories, elite weapons, and related goods.

In addition, under the terms of the contract, the design team will develop a naming system for all products manufactured by the concern. It is currently difficult for a customer to make sense of all the different products. For example, the legendary smoothbore carbine Saiga has 13 different variations. Furthermore, given the difficulty of translating various names, such as Izyubr (Red Deer), Los (Moose), Korshun (Kite), and Medved (Bear), it has been hard to introduce these products in foreign markets. This issue is particularly relevant for the concern, as 80% of its products are exported to other countries. The new naming system will unify the existing system and will be adapted for sales in Western markets.

The Kalashnikov Concern’s own funds, as well as private investors such as CEO Alexei Krivoruchko and co-owner Andrei Bokarev, will finance the rebranding of the weapons holding company. It is not planned to use any money from the state budget for this project.

Before making the decision to rebrand, the concern’s leadership carefully considered its options, as well as opinions and information from the international professional community and customers about Kalashnikov’s existing brand. Experts noted that it lacked a necessary level of seriousness and style.

In 2014, an investment program for the enterprise was developed and approved. During the first quarter of 2014, under the leadership of the new CEO Alexei Krivoruchko, Kalashnikov achieved record results for small arms production, manufacturing 31,000 units, which is 230% greater than the corresponding figures for the first quarter of last year. It is expected that by the end of the second quarter, the holding company for the first time since 2008 will reach the level of an operational profit.

The main priority for the new leadership group of the Kalashnikov Concern is expanding its markets and increasing exports of civilian weapons. Creating a recognizable brand that is in step with the current market trends is entirely consistent with the development strategy of the weapons holding company.

The purchase will lead to a 40% reduction in production costs for parts.

Kalashnikov Concern, part of the state corporation Rostec, is purchasing 51% of shares in the Synthesis-PD group of companies, the only Russian manufacturer of metal products with MIM-technology that uses raw domestic products.

The transaction, which will be financed by the concern and with loans, will cost more than RUB 250 million. The deal is expected to be completed by the end of June 2014.

“Partnering with Synthesis-PD is an important step in the modernization of the entire enterprise’s production. Currently, 90% of parts are produced and refined manually, using old technologies that require significant time and effort. Thanks to the experience of Synthesis-PD, we will be able to cut the time required to manufacture parts in half and reduce production costs by more than 40%, as well as improve quality and increase production rates,” said Kalashnikov Concern CEO Aleksey Krivoruchko, commenting on the deal.

Synthesis-PD specializes in the manufacture of metal products using MIM-technology (Metal Injection Molding). This technology uses a raw, balanced, granulated mixture of fine metal powders and a polymer binder, which is called feedstock.

MIM-technology can increase the weight of parts from 100 g to 400 g.

The new partner will allow Kalashnikov Concern to change its approach to designing new products. Current technology does not allow for sufficient sophisticated design details, which inhibits technological processes and makes it impossible to integrate the production of new engineering developments. Thanks to MIM-technology, the manufacturing of parts of any complexity will require less time and will have even greater precision in its execution.
